The learning outcomes of this study are as follows:1. Learn to analyze a hostile takeover bid from the perspectives of the acquirer, target firm’s management and a large institutional investor in the target firm.2. Review the structuring, financing, valuation, mode of consideration, legal and regulatory aspects of a hostile takeover.3. Case overview/synopsis
On June 14, 2019, Pulak Prasad, Founder and Chief Executive Officer (CEO) at Nalanda Capital, in consultation with other managing partners at Nalanda Capital, had to decide whether to tender a 10.6% equity holding in Mindtree Ltd. in an unsolicited open offer made by Larsen and Toubro (L&T) Ltd. Until then, Nalanda Capital, led by Prasad, had aligned with the Mindtree founders and had led a campaign to thwart L&T’s bid to acquire Mindtree; L&T’s offer to acquire 31% of Mindtree shares was because of open on June 17, 2019 and it is time for Prasad and the management team to take a reasoned call – whether to stay in Mindtree or to exit? Associated aspects included – What could be the consequences of not selling the stake? What could be L&T’s game plan? Could Mindtree continue to create wealth for its shareholders under L&T?

Abstract
Purpose
The purpose of this paper is to study the production methods and potential of self-help groups (SHGs) for linking to micro, small and medium enterprises (MSME) in the Union Territory of Puducherry region.
Design/methodology/approach
The variables for the research work were identified through a literature review relating to SHGs production methods and 251 primary data were collected through the random sample using the survey method. The statistical software of IBM-SPSS was used to analyze the data using the statistical methods of descriptive statistics like frequency analysis simple mean and inferential statistics such as chi-square, correspondence analysis, correlation and ANOVA test.
Findings
The majority of SHGs consisting of 49.8% are willing to pay an amount up to Rs. 5,000 if training is provided through MSME organizations, a higher number of SHGs have indicated that they are very much interested in ancillary production activities, 35.5% of SHGs are using no machines and ANOVA test result shows that there is a significant difference between numbers of years of functioning with respect to production activity.
Research limitations/implications
The authors have selected the Union Territory of Puducherry was taken as the sample region of the study due to its high rural poverty levels of 16.9%.
Practical implications
The research study endeavors to study the various production methods and preferences of SHGs and it will be of immense utility to the government, banks, microfinance organizations and other policymakers.
Originality/value
Existing literature reviews are conducted on various problems in service and manufacturing sectors, it is essential to conduct empirical research on an inclusive sector like SHG production activities and preferences in emerging economies like India.

The case explores information technology (IT) company Mindtree’s journey of 20 years from the time it was founded in 1999 to be different from others, and how it became a target for acquisition by an Indian diversified conglomerate in 2019. It offers insights into developing organizational culture and values in an organization, threats faced by a company when promoters dilute their shareholding, and the strategies followed by the acquirer and the target firm. It also deals with the challenges in the acquisition of a knowledge service digital firm. After working through the case and assignment questions, students will be able to: identify the circumstances under which a company can become a target for hostile takeover; describe motivations of the acquirer firm in an acquisition; distinguish between acquisition and hostile takeover, and discuss salient features of Securities and Exchange Board of India (substantial acquisition of shares and takeover) regulations, 2011; list the defenses a target firm can adopt to ward off hostile acquirer; explore strategies followed by acquirer and target firms; analyze important ingredients of organization culture, and importance of cultural congruence in an acquisition; and discuss challenges faced by an acquirer in India, namely, legal, retention of clients and key people in the target firm particularly in hostile environment.
Case overview/synopsis
The case explores how ten IT professionals founded mid-tier IT services company Mindtree in 1999 in Bengaluru, India (home to Infosys and Wipro) to be different from others – by inserting themselves at a higher level in the value chain, being philanthropic as a part of broader business strategy to attract a certain kind of employee and customer. It developed a culture of equality, consideration and respect. Its attrition rate of 12 to 13 per cent was significantly lower than the Industries. Mindtree crossed annual revenue of US$1bn for FY 2019 and was growing at twice the industry’s growth rate. The most attractive part was that its proportion of revenue from digital services was about 50 per cent as compared to 25-35 per cent of other services vendors. With time, the share of promoters/founders declined and increased one investor’s shareholding of V. G. Siddhartha and his related entities. In early March 2019, the promoters’ stake was 13.32 per cent while Siddhartha had 20.32 per cent. Larsen and Toubro (L&T) one of India’s conglomerate entered into a share purchase agreement on March 18, 2019 with Siddhartha to acquire his 20.32 per cent stake. Immediately, L&T asked its broker to purchase up to 15 per cent of share capital of Mindtree at a price not exceeding INR 980 per share (each share of face value INR 10). This would trigger an open offer by L&T to purchase additional 31 per cent shares of Mindtree. The action of hostile takeover bid by L&T evoked emotional criticism from Mindtree founders. Mindtree efforts to defend itself could not materialize. L&T’s stake crossed 26 per cent on May 16, 2019. After Indian regulator SEBI’s approval, L&T’s open offer to buy shares from Mindtree shareholders commenced on June 17, 2019. The case examines motivation of the acquirer firm particularly when it is a conglomerate, and how a well-performing company became a target for hostile takeover. It looks at vulnerabilities of a target firm, and defensive steps a firm can take to fence itself against such takeover. The case also explores how organizational culture is built in a people-oriented business, namely, digital services, and what role it plays in a merger of two firms.

Abstract
The objective of this research work is to study the artificial intelligence (AI)-based product benefits and problems of the agritech industry. The research variables were developed from the existing review of literature connecting to AI-based benefits and problems, and 90 samples of primary data from agritech industry managers were gathered using a survey of a well-structured research questionnaire. The statistical package of IBM-SPSS 21 was utilized to analyze the data using the statistical techniques of descriptive and inferential statistical analysis. Results show that better information for faster decision-making has been ranked as the topmost AI benefit. This implies that the executives of agritech units have a concern about the quality of decisions they make and resistance to change from employees and internal culture has been ranked as the topmost AI problem.

Abstract
Purpose
This paper is a literature review on use of artificial intelligence (AI) among agricultural value chain (AVC) actors, and it brings out gaps in research in this area and provides directions for future research.
Design/methodology/approach
The authors systematically collected literature from several databases covering 25 years (1994–2020). They classified literature based on AVC actors present in different stages of AVC. The literature was analysed using Nvivo 12 (qualitative software) for descriptive and content analysis.
Findings
Fifty percent of the reviewed studies were empirical, and 35% were conceptual. The review showed that AI adoption in AVC could increase agriculture income, enhance competitiveness and reduce cost. Among the AVC stages, AI research related to agricultural processing and consumer sector was very low compared to input, production and quality testing. Most AVC actors widely used deep learning algorithm of artificial neural networks in various aspects such as water resource management, yield prediction, price/demand forecasting, energy efficiency, optimalization of fertilizer/pesticide usage, crop planning, personalized advisement and predicting consumer behaviour.
Research limitations/implications
The authors have considered only AI in the AVC, AI use in any other sector and not related to value chain actors were not included in the study.
Originality/value
Earlier studies focussed on AI use in specific areas and actors in the AVC such as inputs, farming, processing, distribution and so on. There were no studies focussed on the entire AVC and the use of AI. This review has filled that literature gap.

Abstract
Purpose
Our paper empirically evaluates the impact of livelihood training programmes on entrepreneurial skills of the women Self-Help Group (SHG) members.
Design/methodology/approach
The study is based on primary data collected from a sample of 416 SHG women of Sikkim, India, using a multi-stage cluster sampling. A multiple linear regression model is used to assess the impact of training participation on entrepreneurial skill. We correct for the potential self-selection bias associated with training participation using Propensity Score Matching (PSM) method and estimate the Average Treatment effect on the Treated (ATT) using 1:1 Nearest neighbour matching without replacement (caliper = 0.06) and full matching algorithm. The robustness of the result is validated using Rosenbaum bounds sensitivity analysis.
Findings
The findings suggest a significant and positive relation between livelihood training programme participation and entrepreneurial skills of the SHG members which relates to Human Capital Theory.
Originality/value
Our paper contributes to the existing literature by empirically evaluating the impact of livelihood training on entrepreneurial skills of the SHG members. Further, our study not only corrects the problem of self-selection bias associated with training participation but also studies the influence of unobserved confounders on the estimated results ensuring generalisability of the findings. Additionally, the study is conducted across all four districts of Sikkim, a north-eastern state of India which has received less academic attention in the context of SHGs and its activities.

Abstract
Purpose
Crowdfunding (CF) has become an increasingly popular means of financing for entrepreneurs and has attracted significant attention from both researchers and practitioners in recent years. The purpose of this study is to investigate the core content and knowledge diffusion paths in the CF field. Specifically, we aim to identify the main topics and themes that have emerged in this field and to trace the evolution of CF knowledge over time.
Design/methodology/approach
This study employs co-word clustering and main path analysis (MPA) to examine the historical development of CF research based on 1,528 journal articles retrieved from the Web of Science Core Collection database.
Findings
The results of the analysis reveal that CF research focuses on seven themes: sustainability, entrepreneurial finance, entrepreneurship, fintech, social entrepreneurship, social capital, and microcredits. The analysis of the four main paths reveals that equity CF has been the dominant topic in the past years. Recently, CF research has tended to focus on topics such as fintech, the COVID-19 pandemic, competition, Brexit, and policy response.
Originality/value
To the authors' best knowledge, this is the first attempt to explore knowledge diffusion dynamics in the CF field. Overall, the study offers a structure for analyzing the paths through which knowledge is diffused, enabling scholars to effectively manage a large volume of research papers and gain a deeper understanding of the historical, current, and future trends in the development of CF.

Abstract
Purpose
The purpose of this study is to increase the resilience capacity of residential health-care professionals to achieve intrapreneurial development in workers. Through training based on the development of emotional competencies and the application of mindfulness techniques, the aim is for the individual to become aware of his or her role, learn to manage emotions and reduce feelings of distress and anxiety.
Design/methodology/approach
The proposed programme has a duration of eight weeks. Every four days of training, mindfulness sessions are integrated, and at the beginning and end of the working day, 10 min are spent with superiors to give feedback on what happened during the day and the setting of new objectives. A control group is also established where they do not undergo such training. After the delivery of the programme, the results obtained after the application of the methodology to a sample of 91 residential health-care professionals are presented. By means of a validated resilience questionnaire composed of 25 items, the aim is to measure the resilience capacity of the participants before and after training and to observe the impact of the programme.
Findings
The results of this study show that the training has led to an improvement in the overall resilience capacity by 3.93% and has been able to reduce the existing gap between those over 45 years of age and younger people, although the age-related variable still represents a significant difference.
Originality/value
This study provides an innovative way of fostering entrepreneurship. While participants work on resilience management through mindfulness techniques, organisational commitment is achieved.

Abstract
Purpose
The gaps between what is taught in the classroom and what is required from the management graduates are evident globally. This research suggests that experiential learning has the potential to address this pronounced gap and examines the impact of a long-term experiential learning project in marketing curricula on management graduates in emerging Indian economy. This paper aims to investigate whether experiential learning results in conceptual clarity and application skills, influence positive behavioral change in the students and at the same time make learning an enjoyable and productive experience for management graduates.
Design/methodology/approach
This paper examines the results of a full-term long experiential learning project designed for the graduate students of the introductory marketing course in the emerging economy of India. The assessment of the experiential learning project was undertaken by using a 14-item survey instrument post activity and analyzed results by using quantitative methods.
Findings
The results of the study indicate that incorporation of experiential learning project in marketing curricula offers an excellent opportunity for the educators to ensure a high level of engagement, involvement, motivation, interest and satisfaction among Indian students. The project led to more enjoyment and productivity as compared to regular lecture method and assignments. The project provided an opportunity to apply theoretical concepts and theory in a real-life setting.
Practical implications
This activity is ideal and relevant for marketing educators who are looking for a semester/term long experiential learning activity/group project to be conducted while teaching introduction to marketing course. This activity offers an excellent opportunity for educators to ensure that students are engaged, motivated and are ready to apply the marketing concepts. This activity can be used in both undergraduate- and graduate-level courses.
Originality/value
“Marketing Challenge,” a long duration (full-term) experiential learning project described in this paper, provides the students an opportunity to experience the new product development process from the product conception, development to selling the developed product. The authors perceive that in the coming future, educators will use experiential learning elements in the classrooms to achieve the learning outcomes of various management courses.

Purpose
This study aims to provide a scientific framework for the selection of suitable substation technology in an electrical power distribution network.
Design/methodology/approach
The present paper focuses on adopting an integrated multi-criteria decision-making approach using the Delphi method, analytic hierarchy process (AHP) and technique for order preference by similarity to ideal solution (TOPSIS). The AHP is used to ascertain the criteria weights, and the TOPSIS is used for choosing the most fitting technology among choices of air-insulated substation, gas-insulated substation (GIS) and hybrid substation, to guarantee educated and supported choice.
Findings
The results reveal that the GIS is the most preferred technology by area experts, considering all the criteria and their relative preferences.
Practical implications
The current research has implications for public and private organizations responsible for the management of electricity in India, particularly the distribution system as the choice of substations is an essential component that has a strong impact on the smooth functioning and performance of the energy distribution in the country. The implementation of the chosen technology not only reduces economic losses but also contributes to the reduction of power outages, minimization of energy losses and improvement of the reliability, security, stability and quality of supply of the electrical networks.
Social implications
The study explores the impact of substation technology installation in terms of its economic and environmental challenges. It emphasizes the need for proper installation checks to avoid long-term environmental hazards. Further, it reports that the economic benefits should not come at the cost of ecological degradation.
Originality/value
The present study is the first to provide a decision support framework for the selection of substation technologies using the hybrid AHP-TOPSIS approach. It also provides a cost–benefit analysis with short-term and long-term horizons. It further pinpoints the environmental issues with the installation of substation technology.
