Furtherance of technological progress is seriously hampered by restricted communication between research establishments and industry. It is now curious to recall that ten years ago management buy‐outs were infrequent and largely ignored by those not directly involved, (Arnfield et.al., 1981). During the subsequent decade a previously unrecognised oddity has become not merely commonplace but a major force in restructuring the private sector and in privatising public services. In 1989 there were over 500 recorded management buy‐outs (MBO's) and associated deals to a total value of £7.5 billion. In the same year these transactions accounted for 22% of all mergers and acquisitions by value and almost one third by volume. Furthermore, in the latter half of the 1980s the MBO spread to Europe and now appears poised to become a major instrument in dismantling the state industries of Eastern Europe.

Abstract
In both the United States and Europe there has been a spectacular growth in the number and importance of management buy‐outs since the late 1970s. The typical characteristics of these deals differ somewhat on either side of the Atlantic in ways which are outlined below. However, in each environment the term “buy‐out” refers essentially to the transfer of ownership of the assets of an existing firm — which may itself be an independent entity or a wholly‐owned subsidiary or division — to a new and especially established group of equity holders which intends to keep at least some of those assets in their former use. In the US buy‐outs have often involved very large asset transfers, indeed multi‐billion dollar deals have been quite frequent. The transaction is typically financed by a limited subscription of equity from specialist venture capitalists and perhaps from the firm's management, together with a very large input of debt capital. The latter has often been in the form of high coupon (so called “junk”) bonds. The characteristically high ratio of debt to equity in buy‐out finance has given rise to their American description as leveraged buy‐outs.

This paper sets out to examine some of the performance characteristics of holding companies in the UK in the years 1964–1973. It is difficult to define precisely the unique characteristics of a holding company, but our concern in this article is with controlling British holding companies who own at least 51% of the equity of their principal subsidiaries and whose activities are primarily in manufacturing industry. All the companies in this study are registered as holding companies and as such attract particular tax advantages in such areas as group relief; asset transfer between parent or subsidiaries; and “rollover relief” for capital gains tax purposes.

Purpose
The purpose of this paper is to review and analyse Vision 2023: the Turkish National Technology Foresight project. The paper aims to review the process of conducting the project, how it was implemented afterwards and how it compares to other national technology foresight projects
Design/methodology/approach
Through a literature search, a process framework was conducted. The analysis was then conducted in four phases. First a process review, second a comparative review, third content review and finally a post project review. Expert interviews and site visits to Turkish State Planning Organization and TUBITAK (Scientific and Technical Research Council of Turkey) helped the authors to collect the data on Vision 2023 including how it was established, which areas were involved and what the recommendations were. Finally an expert panel was organized as part of a recent Portland International Conference on Management of Engineering and Technology. This included experts involved in the project as well as leading researchers who have been analyzing this project. This panel helped to validate the results.
Findings
Processes used in the Turkish project were similar to the other national projects, however lack of political ownership and change in leadership had been blocking the recommendations coming out of this project from being implemented. A second effort is required to modify the results of the first one and to establish political ownership and leadership. Several other national projects had multiple rounds before solid actions were taken. Industry needs to be a part of the effort as the panelists indicated that several key corporations were missing in the first project.
Practical implications
The project provides comparative details on running national technology foresight projects. This should be useful for those responsible for planning similar projects.

The Howard Shuttering Contractors case throws considerable light on the importance which the tribunals attach to warnings before dismissing an employee. In this case the tribunal took great pains to interpret the intention of the parties to the different site agreements, and it came to the conclusion that the agreed procedure was not followed. One other matter, which must be particularly noted by employers, is that where a final warning is required, this final warning must be “a warning”, and not the actual dismissal. So that where, for example, three warnings are to be given, the third must be a “warning”. It is after the employee has misconducted himself thereafter that the employer may dismiss.

Purpose
This article introduces the “YouWalk-YouReclaim” mobile application as a transformative tool aimed at co-assessing and enhancing campus environments in a post-pandemic context. It seeks to address the need for inclusive, dynamic and technology-driven spaces within university settings.
Design/methodology/approach
The study employs a comprehensive assessment framework through a case study at Northumbria University, Newcastle. It involves over 100 students from diverse fields who utilised the application to evaluate significant areas on campus, such as Student Central, Northumberland Road and the Northumbria Library. The methodology places emphasis on direct user engagement and the use of the application’s inbuilt-image library and visual documentation features.
Findings
The application effectively evaluated the functionality, spatial dynamics and user experiences across various campus spaces. Key findings include the importance of adaptability, personalised spaces and enhanced wayfinding to meet the evolving needs of the university community. The study also noted the potential of the app to facilitate multidimensional assessments and support user-centric improvements.
Practical implications
The findings suggest that institutions can leverage technology like the “YouWalk-YouReclaim” app to better understand and optimise their campus spaces, fostering more responsive, user-focused and sustainable environments. The study advocates continuous technological enhancements and user-centred assessments to cultivate efficient and enriching campus experiences.
Originality/value
This study is novel in its integration of digital technology with user-centred approaches to assess and enhance campus environments. By enabling real-time feedback and inclusive participation, “YouWalk-YouReclaim” exemplifies an innovative approach to campus space management.

Abstract
In the last a few years a number of highly publicized incidents of Distributed Denial of Service (DDoS) attacks against high‐profile government and commercial websites have made people aware of the importance of providing data and services security to users. A DDoS attack is an availability attack, which is characterized by an explicit attempt from an attacker to prevent legitimate users of a service from using the desired resources. This paper introduces the vulnerability of web applications to DDoS attacks, and presents an active distributed defense system that has a deployment mixture of sub‐systems to protect web applications from DDoS attacks. According to the simulation experiments, this system is effective in that it is able to defend web applications against attacks. It can avoid overall network congestion and provide more resources to legitimate web users.

Abstract
Purpose
Performance-based contracting (PBC) links pricing with performance objectives in service business relationships. Although interest in PBC has surged recently, there is still great uncertainty about the risks, opportunities and challenges. This paper aims to provide a deeper understanding of the contextual factors of PBC and how providers assess them.
Design/methodology/approach
This paper includes conducting a multiple-case study evaluation and analyzes data from 21 cases. Risks, opportunities and contextual factors are identified through interviews, and the case data are analyzed with several methods, including Borda count and cross-tabulation.
Findings
The results show that the most important factors of PBC are clear responsibilities, clear performance indicators, transparent measurement, cooperative culture and a precise utilization profile of core assets. Surprisingly, incentives are of minor perceived relevance. The analysis supports the differentiation of PBC into two subcategories: lean (low integrated) and customized (high integrated) PBC.
Research limitations/implications
While many studies stress the uniqueness of PBC in accordance with the “one-size-does-not-fit-all” mantra, this research differentiates the standardized PBC from a customized one. The findings face the limitations of case study research and qualitative data analysis in general.
Practical implications
Practitioners are provided with guidance to develop either a customized or a standardized PBC.
Originality/value
Previously, broader empirical insights have still been rare; thus, this paper contributes to the PBC literature, as it provides data from multiple cross-industry cases. The findings (e.g. the minor relevance of incentives) stand in contrast to parts of the academic literature and contribute also to the wider service management field.
