Abstract
Purpose
The purpose of this paper is to examine the effect of board structure on non-US acquirer returns in 11,499 acquisition transactions from 60 countries during the period from 2001 to 2011.
Design/methodology/approach
In this paper the authors employ event study methodology and regression analyses including instrumental variables two-stage least squares regressions.
Findings
The authors find that board independence in non-US firms is associated with significantly higher acquirer returns, but this effect is only present in countries with lower levels of investor protection. The authors contribute to the literature by documenting that due to the substitution effect between internal and external governance, when external governance mechanisms are not adequately developed, better internal governance (as measured by higher degree of board independence) reduces agency problems and leads to better firm decisions and outcomes (as measured by the quality of corporate acquisitions).
Originality/value
The paper is the first to empirically examine the relation between board independence and acquirer returns in non-US firms. The findings have important implications for both company managers and national policy makers who are debating the costs and benefits associated with increasing the degree of board independence in publicly traded companies around the world.

Abstract
Conventional wisdom suggests that institutional development is a precursor to financial sector development. Using a panel of 122 countries over the period 1970–2000, we find that while there is a correlation between the quality of legal institutions and financial development, the relationship is not causal. Changes in the quality of legal institutions do not predict changes in the level of financial development. The results suggest that legal institutions and the financial sector develop simultaneously and are jointly determined by unobservable country-specific factors.

This study examines the relationship between the Search Volume Index (SVI) and stock return during the COVID-19 pandemic. SVI shows how many people search for a particular query over a specified period or region. This study is based on secondary financial data collected from 25 companies from the LQ45 index listed on the Indonesia Stock Exchange. Data collection uses a weekly period use financial data from March 2019 to March 2020. To examine the relationship between the SVI and stock return, this study uses the Fama-French three-factor model with the SVI as the independent variable using the regression methodology.

Abstract
This chapter investigates attention theory by examining retail investors' true intention to purchase. Attention theory indicates that investors, and especially retail investors, typically invest in stocks about which they are aware. Previous studies test attention theory by analyzing stock price behavior or trading volume. However, stock prices and trading volume are primarily driven by institutional investors rather than retail investors. We examine investor attention using initial public offering (IPO) subscriptions in Taiwan because only retail investors are allowed to subscribe to Taiwanese IPOs. We use media coverage as a measure of passive retail investor attention and Google search volume as a measure of active retail investor attention. Our results reveal that active attention has a more profound relationship with retail investor IPO subscriptions than passive attention does. Additionally, information about the value of IPOs taken from trading prices in the pre-IPO market mitigates the effects of attention theory.

Abstract
Purpose
This study aims to conduct a comprehensive methodological review, exploring the strategies used to address endogeneity within the realms of corporate governance and financial reporting.
Design/methodology/approach
This research reviews the application of various methods to deal with endogeneity issue published in the 10 journals covering the corporate governance discipline included in the Web of Science’s Social Sciences Citation Index.
Findings
With a focus on empirical studies published in leading journals, the author scrutinizes the prevalence of endogeneity and the methodologies applied to mitigate its effects. The analysis reveals a predominant reliance on the two-stage least squares (2SLS) technique, a widely adopted instrumental variable (IV) approach. However, a notable observation emerges concerning the inconsistent utilization of clear exogenous IVs in some studies, highlighting a potential limitation in the application of 2SLS. Recognizing the challenges in identifying exogenous variables, the author proposes the generalized method of moments (GMM) as a viable alternative. GMM offers flexibility by not imposing the same exogeneity requirement on IVs but necessitates a larger sample size and an extended sample period.
Research limitations/implications
The paper sensitizes researchers to the critical concern of endogeneity bias in governance research. It provides an outline for diagnosing and correcting potential bias, contributing to the awareness among researchers and encouraging a more critical approach to methodological choices, recognizing the prevalence of endogeneity in empirical studies, particularly focusing on the widely adopted 2SLS technique.
Originality/value
Practitioners, including corporate executives and managers, can benefit from the study’s insights by recognizing the importance of rigorous empirical research. Understanding the limitations and strengths of methodologies like 2SLS and GMM can inform evidence-based decision-making in the corporate governance realm.

Abstract
Purpose
This study elucidates the interactive relationship of sustainability assurance (SA) quality with corporate environmental sustainability performance (CESP) and firm value and explores the moderating impact of CESP on the SA quality–firm value relationship.
Design/methodology/approach
The sample comprises 320 firm-year observations of 40 companies listed on the Cotation Assistée en Continu (CAC 40) from 2010 to 2019. The authors use the simultaneous equations model to capture the CESP and SA quality–firm value relationship and apply the three-stage regression and generalised method of moments approaches to address possible endogeneity.
Findings
The results show that CESP, as assessed by International Organisation for Standardisation (ISO) 14001 certification, has a significant positive effect on firm value, the relevance of which implies that in the case of good environmental performance, society's perception of a firm is much more favourable; consequently, the firm is likely to be rewarded with a premium value in capital markets. In addition, environmental performance has a stronger interaction with SA quality, acting as a moderator variable; thus, greater SA quality signals credibility owing to increased eco-efficiency. The authors interpret their findings within a multi-theoretical framework that draws insights from legitimacy, stakeholders and signalling theoretical perspectives.
Originality/value
This study contributes to the literature by re-examining the relationship between SA quality and firm value. It also provides new evidence of the moderating effect of CESP on the SA quality–firm value nexus. Specifically, this study explores the joint effects of credibility and eco-efficiency on market confidence in sustainability information. The authors use a simultaneous equation model to capture the reciprocal association between SA quality and firm value, whereas prior studies on SA quality and market performance have frequently used single-equation regression. The authors also find that CESP positively moderates the relationship between SA quality and firm value. Including CESP and exploring the moderating impact of eco-efficiency on the SA quality–firm value relationship is a novel approach.

Abstract
Purpose
We focus on multi-level heterogeneity in board interlocks by accounting for the experience of the “tied-to” firm and the efficacy of the channel for knowledge transfer. Specifically, we study the role of board interlocks of a focal firm with cross-border acquirers and their implications on the entry mode decision (greenfield vs acquisitions). While studying board interlocks, we also consider the type of directors (inside vs independent) that form the interlocks. We situate our research within the context of knowledge-intensive industries in emerging markets. By focusing on heterogeneity in board interlocks, we consider the interplay between experiential and vicarious learning and its implication on a firm’s foreign market entry mode choice.
Design/methodology/approach
We conduct our analysis on a propriety dataset of 450 foreign market entries by Indian firms belonging to knowledge-intensive industries during the period 2003 to 2013. We use a binomial logistic regression model to analyze the choice between greenfield ventures and cross-border acquisitions.
Findings
We find that firms are more likely to choose cross-border acquisitions over greenfield ventures when connected to other cross-border acquirers through inside and independent director interlocks. However, this effect is more substantial for inside director interlocks. Foreign institutional investors’ shareholding weakens the impact of inside director interlocks but strengthens the effect of independent director interlocks. A firm’s cross-border acquisition experience weakens the impact of independent director interlocks. Still, it enhances the effect of inside director interlocks on the likelihood of choosing cross-border acquisitions over greenfield ventures.
Originality/value
The study highlights heterogeneity in board interlocks and the effectiveness of channels of transfer of learning. It also highlights boundary conditions of board interlocks’ effectiveness in shaping the entry mode decision by elucidating the biases within different actors in the organizational learning process.

Abstract
Purpose
This paper investigated whether a bank’s popularity and depositors' fear of Google search volume could affect bank deposits and credit.
Design/methodology/approach
The authors used two different quarterly data from Google Trends and banking data from 2012 Q1 to 2020 Q1. Based on available data, Google Trends data start from 2012. The authors exclude data after 2020 Q1 because the Covid-19 pandemic arguably increased the volume of Internet users due to shifting behavior to online activities. They merged and cleaned the data by winsorizing at 5 and 95 percentiles to avoid any outlier problems, reaching 74 banks in the sample. They used panel data estimation of quarterly data following Levy-Yeyati et al. (2010) and Trinugroho et al. (2020).
Findings
The results show that a higher search volume of a bank’s name leads to higher deposits. A higher search volume of depositor fear reduces deposits and credit. The authors also found that banks with high risk and a high search volume of their name have a significantly lower volume of deposits.
Originality/value
To the best of the authors’ knowledge, not many papers in banking and finance have used Google Trends data to gauge related issues regarding depositors' behavior. The authors have filled a gap in the literature by investigating whether the popularity of Google search and depositors' fear could impact deposits and credit. This study also attempted to establish whether Google Trends data could be a reliable source of information to predict depositors' behavior by using a Zscore to measure bank risk.

Abstract
Purpose
This study examines the impact of social media investor sentiment on the stock market performance through qualitative and quantitative proxies.
Design/methodology/approach
The authors use a sample of daily stock performance related to S&P 500 Index for the period from December 18, 2017, to December 18, 2018. The social media investor sentiment was assessed through qualitative and quantitative proxies. For qualitative proxies, the study relies on three social media resources”: Twitter, Trump Twitter account and StockTwits. The authors proposed 3 methods to reflect investor sentiment. For quantitative proxies, the number of daily messages published from Trump Twitter account and StockTwits is considered as a signal of investor sentiment. For regression model, the study adopts the autoregressive distributed lagged to determine the relationships between the nonstationary series.
Findings:
Empirical findings provide evidence that quantitative measures of investor sentiment have significant effects on S&P’500 performances. The authors find that Trump's tweets should be interpreted with caution. The results also show that the number of Trump's tweets on t−1 day have a positive effect on performance on day t.
Practical implications
Social media sentiment contains information for predicting stock returns and transaction activity. Since, the arrival of new information in capital markets triggers investor sentiment on social media.
Originality/value
This study investigates the investors’ sentiment through social media and explores quantitative and qualitative measures. The amount of information on social media reflects more the investor sentiment than content analysis measures.
