Abstract

In August 2007 the Mainsail II SIV-Lite was frozen by its trustee as a result of the ongoing credit crisis. The state of Maine held $20 million of Mainsail commercial paper in its Cash Pool portfolio, a short-term portfolio that puts temporary, excess state revenues to work. When word of the potential loss became public, the Treasurer came under attack. The case introduces the functions of a state Treasury department, with particular emphasis on the investment objectives and guidelines for the cash pool as well as its composition. The case reviews the events leading up to and including August 2007, the month when the credit markets first began to seize and when the financial crisis effectively began. It examines securitization, structured finance, and the Mainsail SIV-Lite structure in some detail.

Abstract

Synopsis

For four years, Valerie Thorpe was Director of Accounting for Taurus Construction. She was fired by the company's owner, Vic Bullard, when she refused to falsify accounting entries. Bullard's directive would have lowered profits, thereby deceiving his business partner and committing tax evasion. Until her firing late in the spring of 2011, Valerie had a few concerns about Bullard's lack of ethics in his business dealings. However, she has not questioned him previously because of her own emotional condition after the unexpected death of her husband. During the spring 2011 semester in graduate school, Valerie was inspired when her classmates recounted their own experiences of resigning from jobs because of unethical managers and owners. Valerie had thought of resigning from Taurus; but, Bullard fired her first. Six months after her firing, Valerie is seriously contemplating whether she should report Bullard's tax evasion to the Internal Revenue Service.

Field Based Research. Interviews with the case protagonist.

The case is suitable for graduate and undergraduate courses in business ethics, accounting ethics, entrepreneurship, income tax accounting and an undergraduate auditing class.

Theoretical basis

This is a real-life case applying ethical frameworks coverage of which can be challenging as students perceive those theories and frameworks as “dry.”

Abstract

In February 1991, the managers of this multinational specialty publishing company proposed to take the company private in a leveraged buyout (LBO). In addition to the ordinarily interesting features of the typical LBO, this transaction was the first to be denominated in ECUs and one of the few in which the managers provided all the equity financing. The tasks for the student are to value the company and evaluate the attractiveness of the transaction from the standpoints of seller, senior lender, mezzanine lender, and equity investor/manager. The case can be used to (1) exercise students' skills in valuing a highly leveraged company, (2) illustrate how deal structuring can mitigate potential agency problems, and (3) explore the problems and possible solutions associated with financing a global firm.
